Nigeria Slashes Signature Bonuses to Attract Investment in 2025 Licensing Round

In a move aimed at boosting investment in its oil and gas sector, the Nigerian government has significantly reduced signature bonuses for the upcoming 2025 licensing round. The reduction, overseen by the Nigerian Upstream Petroleum Regulatory Commission (NUPRC), seeks to lower entry barriers for prospective bidders.

Reduced Signature Bonus Amounts

The signature bonus, a non-refundable payment required by contractors upon signing an agreement for oil and gas asset allocation, has been lowered to a range of $3 million to $7 million. This adjustment represents a substantial decrease from previous years.

  • Deepwater assets: Previously attracting a $10 million signature bonus.
  • Shallow water and onshore assets: Previously set at $7 million.

The NUPRC has indicated that the specific amount within the $3 million to $7 million range will be determined by the Minister of Petroleum Resources.

Background on Signature Bonus Reductions

This recent adjustment builds upon earlier efforts to make Nigeria’s oil and gas sector more competitive. In 2024, the government reduced signature bonuses payable by successful bidders from approximately $200 million to $10 million. This earlier reduction was prompted by a survey conducted by the NUPRC, which examined signature bonus requirements in other countries, such as Brazil. The survey highlighted the need to lower Nigeria’s bonus to attract investment.

Currency of Payment

The NUPRC has clarified that the signature bonus must be paid in United States dollars. The designated signature bonus account is dollar-denominated.

Rights Conferred by Petroleum Prospecting Licence

Winners of the licensing round will be awarded a Petroleum Prospecting Licence (PPL), which grants the following rights:

  • The exclusive right to drill exploration and appraisal wells.
  • The non-exclusive right to carry out petroleum exploration operations within the licensed area.
  • The right to extract and dispose of crude oil or natural gas obtained during exploration or appraisal well drilling, subject to production tests.

Licence Duration

The PPL has an initial duration dependent on the location of the asset:

  • Onshore and shallow waters: Three years, with a possible extension of another three years.
  • Deep water and frontier areas: Five years.

Two-Stage Bidding Process

The NUPRC has implemented a two-stage bidding process for awarding the blocks:

  1. Qualification Stage:

    • Interested parties or consortia must submit applications for evaluation.
    • Applicants must provide all required information.
    • Only qualified and shortlisted applicants will proceed to the next stage.
    • Bid Stage:

    • Shortlisted applicants must execute a Confidentiality Agreement.

    • Technical and commercial bids must be submitted in accordance with regulations, guidelines, and bidding documents issued by the NUPRC.

Restrictions on Bidding

To ensure fairness and prevent undue concentration of assets, the NUPRC has set limits on the number of assets a bidder can apply for:

  • No bidder, whether individual or part of a consortium, can submit applications for more than two assets in total.
  • Participation in multiple consortia counts towards this limit.
  • If a company has direct or indirect ownership or management involvement in multiple consortia, all such applications will be aggregated and treated as a single bidder’s application.

The NUPRC has identified 50 blocks for the 2025 licensing round, covering onshore, shallow water, and deep offshore areas. The blocks on offer include:
